Here’s the content we summarized:

80 ❧ Compliance Management misconduct was perpetuated by senior management and was only belatedly discovered despite the existence of auditing and other internal reporting systems. Given the failures of organizational leadership, the advisory group promulgated a series of recommendations that addressed the issues of culture, ethics, and the role of senior management in creating the organizational climate necessary for an effective compliance program. A number of the amendments focused specifically on organizational leadership and its responsibilities with respect to a compliance program. For instance, the FSGO require: ● Mandatory compliance training, to include high-level company officials and board members ● Board members “to be knowledgeable about the content and operation of the compliance and . . . exercise reasonable oversight with the respect to the implementation and effectiveness of the compliance and ethics program” ● Senior management to “ensure that the organization has an effective compliance and ethics program . . . [and to assign] specific individual(s) within high-level personnel . . . overall responsibility for the compliance and ethics program” ● Corporate officials responsible for the organization’s compliance and ethics program to “report periodically to high- level personnel and as appropriate, to the governing authority [i.e., the board of directors], on the effectiveness of the compliance and ethics program . . . [and have] direct access to the governing authority or an appropriate subgroup of the governing authority.” The amendments reflected a seismic change from the Federal for Organizations’ original approach. Sentencing Guidelines Organizations, in the words of the advisory group, must now “promote an organizational culture that encourages ethical conduct and a commitment to compliance with the law.”
